The ideal candidate must possess excellent academic credentials and strong writing and drafting skills. Duties:Assist clients in various corporate transactions, including mergers, acquisitions, divestitures, and joint ventures.Draft, review, and negotiate transactional documents such as purchase agreements, shareholder agreements, and other related contracts.Conduct due diligence investigations and prepare related reports for corporate transactions.Provide legal advice and strategic guidance to clients on corporate governance matters.Assist in the formation and dissolution of corporate entities, including drafting corporate resolutions and bylaws.Collaborate with senior attorneys and clients to develop and execute corporate strategies.Handle general corporate matters, including compliance, regulatory filings, and corporate restructuring.Stay updated on changes in corporate laws and regulations to ensure compliance and provide guidance to clients.Manage and maintain client relationships through effective communication and legal support.Handle additional corporate legal tasks and projects as assigned. Requirements:Juris Doctor (J.D.) degree from an accredited law school.Active membership in the Bar of Ohio or eligibility for Bar admission via reciprocity.2-8 years of experience in Mergers and Acquisitions, with a focus on both private equity and strategic MA.Strong understanding of corporate law, MA transactions, and corporate governance principles.Excellent academic credentials with a demonstrated track record of success.Exceptional writing and drafting skills for preparing legal documents and transactional agreements.Ability to work effectively in a team environment and collaborate with colleagues and clients.Proficient in conducting due diligence investigations and preparing related reports.Knowledge of regulatory compliance requirements related to corporate transactions.Strong analytical skills with attention to detail in reviewing legal documents and agreements.Effective communication skills for interacting with clients, colleagues, and external parties.Demonstrated ability to handle multiple tasks and prioritize workload to meet deadlines. Skills:Proficiency in drafting and negotiating transactional documents, such as purchase agreements and shareholder agreements.Experience in conducting due diligence investigations and preparing reports for MA transactions.Strong understanding of corporate governance principles and compliance requirements.Knowledge of private equity transactions and related legal matters.Legal research proficiency in corporate law and MA regulations.Excellent writing skills for preparing legal memoranda and transactional documents.Ability to analyze complex legal issues and provide strategic advice to clients.Interpersonal skills for building and maintaining client relationships.Detail-oriented with a focus on accuracy and thoroughness in legal work.Proficient in Microsoft Office Suite and legal research databases.
