The successful candidate will play a pivotal role in corporate transactions, legal research, and client interactions, ensuring compliance with regulations and fostering strong client relationships.Job Details:Provide legal counsel and strategic advice to clients on corporate matters, including mergers and acquisitions, corporate governance, securities regulations, and contract negotiations.Conduct thorough legal research, analyze complex issues, and prepare well-reasoned legal opinions and memoranda.Draft and review legal documents, including contracts, agreements, and corporate policies, ensuring compliance with applicable laws and regulations.Assist in due diligence processes for corporate transactions, reviewing financial documents, contracts, and other relevant materials.Collaborate with cross-functional teams, including finance, tax, and compliance, to ensure seamless execution of corporate transactions and compliance with legal requirements.Participate in negotiations and discussions with opposing counsel, clients, and regulatory authorities.Stay updated on changes in corporate law, regulations, and industry best practices, providing recommendations for adapting firm strategies accordingly.Mentor and supervise junior attorneys, providing guidance and support in their professional development.Build and maintain strong client relationships, delivering exceptional client service and solutions aligned with their business objectives.Requirements:Juris Doctor (J.D.) degree from an accredited law school.Admission to the Bar and in good standing in FL.3-5 years of experience in a reputable law firm or corporate legal department, focusing on corporate law.Strong knowledge of corporate transactions, securities regulations, corporate governance, and contract law.Exceptional legal research, analytical, and problem-solving skills.Excellent written and verbal communication abilities, effectively communicating complex legal concepts to clients and colleagues.Proven ability to manage multiple projects simultaneously, meet deadlines, and prioritize tasks effectively.Detail-oriented mindset with strong organizational skills and a keen eye for accuracy.Collaborative team player with excellent interpersonal skills, building relationships with clients and colleagues.Demonstrated commitment to professional growth and development.Candidates with a proven book of business are strongly preferred.Job Location: Coral Gables, FL This trial law firm focuses on commercial litigation.
